1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you") and Codeword Technologies Private Limited ("Codeword", "we", "us"), a private limited company registered under the Companies Act, 2013, with its registered office in New Delhi, India.

2. Description of Services

Codeword Technologies Private Limited develops and operates the following software products:

  • Macro

  • Spotbeam

  • Thirdeye

  • Deeptracer

  • Datastory

All products are offered as Software-as-a-Service (SaaS) and are accessible via codeword.tech or their dedicated product URLs.

  1. Account Registration

You must create an account to access most of our Services

  • You agree to provide accurate, complete, and up-to-date information during registration

  • You are solely responsible for maintaining the confidentiality of your account credentials

  • You must notify us immediately at info@codeword.tech if you suspect unauthorized use of your account

  • You may not share your account with others or create accounts on behalf of another person without authorization

  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms

4. Subscriptions & Payments

Access to Macro, Spotbeam, Thirdeye, Deeptracer, and Datastory may require a paid subscription

  • All payments are processed securely through Stripe, Inc.

  • We use a single Stripe account across all our products. Your payment method on file may be used for any active subscription you hold across our products

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected)

  • All prices are listed in USD unless otherwise stated. Applicable taxes (including GST in India) may be added at checkout

  • You authorize us to charge your payment method on each renewal date unless you cancel before the renewal date

  • We reserve the right to change pricing with at least 30 days' prior notice

5. Free Trials

Some products may offer a free trial period

  • No payment is required during the trial, but you may be asked to provide payment details upfront

  • At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends

  • Codeword reserves the right to modify or terminate free trials at any time

6. Acceptable Use Policy

You agree not to use any of our Services (Macro, Spotbeam, Thirdeye, Deeptracer, Datastory) to:

  • Violate any applicable law, regulation, or third-party rights

  • Upload, transmit, or distribute malicious code, viruses, or harmful software

  • Attempt to gain unauthorized access to our systems or other users' accounts

  • Scrape, reverse-engineer, decompile, or disassemble any part of our products

  • Use our Services for spamming, phishing, or any fraudulent activity

  • Interfere with or disrupt the integrity or performance of our Services

  • Impersonate any person or entity, or misrepresent your affiliation with any entity

  • Use our Services in a way that could harm Codeword's reputation or business interests

Violation of this policy may result in immediate account suspension or termination without refund.

7. Intellectual Property

All content, software, trademarks, logos, and materials on codeword.tech and across Macro, Spotbeam, Thirdeye, Deeptracer, and Datastory are owned by or licensed to Codeword Technologies Private Limited

  • You are granted a limited, non-exclusive, non-transferable license to access and use our Services solely for their intended purpose

  • You may not copy, modify, distribute, sell, or sublicense any part of our Services without explicit written permission from Codeword

  • You retain ownership of any data or content you upload to our Services. By uploading, you grant us a limited license to process and display that data solely to provide the Services to you

8. Availability & Downtime

We aim to maintain high availability of all our products, but do not guarantee 100% uptime

  • We may perform scheduled or emergency maintenance that temporarily affects access

  • We are not liable for any losses arising from service interruptions, downtime, or data loss resulting from circumstances beyond our reasonable control

9. Termination

You may cancel your account at any time via your account settings or by emailing hello@codeword.tech

  • We reserve the right to suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or misuse our Services

  • Upon termination, your right to access the Services ceases immediately. We may retain certain data as required by law or our internal policies

  • Refer to our Cancellation & Refund Policy for information about refunds upon termination

10. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Codeword does not warrant that:

  • The Services will be uninterrupted, error-free, or secure

  • Any results obtained from use of the Services will be accurate or reliable

  • Any defects will be corrected

11. Limitation of Liability

To the maximum extent permitted by applicable law, Codeword Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use our Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of these Terms or your use of the Services shall not exceed the amount paid by you to Codeword in the 3 months preceding the claim.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India

  • Any disputes arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of New Delhi, India

  • We encourage you to contact us at hello@codeword.tech to resolve any disputes informally before initiating legal proceedings

13. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-product notification at least 14 days before taking effect. Continued use of our Services after the effective date constitutes your acceptance of the updated Terms.
